The information and materials on the Site are provided for general informational purposes. You may use the Site solely for the purpose of learning about Sana services or products. You may not use, modify, reproduce, display, perform, or distribute the text, graphics, downloads, Trademarks, videos, audio, or images or any other content on the Site for any commercial, non-personal purpose without Sana’s written permission. You should assume that everything you see or read on this Site is copyrighted unless otherwise noted and may not be used except as provided in these Terms of Use or in the text on the Site without Sana’s written permission. We do not represent or warrant that any information on the Site does not infringe or violate the intellectual property rights or other proprietary rights of any third party.

Sana’s Privacy Policy is incorporated and made part of these Terms of Use. You hereby agree to such Privacy Policy. Any other communication or material you transmit to the Site, such as questions, comments, suggestions or the like, will be treated as non-confidential and non-proprietary.

THE SITE, ITS CONTENT, MATERIALS, SERVICES AND PRODUCTS ON THE SITE ARE PROVIDED “AS IS.” TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, SANA HEREBY DISCLAIMS ALL WARRANTIES AND INDEMNITIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Sana does not represent or warrant that the functions contained in the Site will be uninterrupted or error-free, that the defects will be corrected, or that the Site or the server that makes the Site available are free of viruses or other harmful components. Sana does not make any warranties or representations regarding the use of the materials on the Site in terms of their correctness, accuracy, adequacy, usefulness, timeliness, reliability or otherwise. Sana does not make any warranties or representations regarding the security of your personal information. Some states do not permit limitations or exclusions on warranties, so the above limitations may not apply to you.

YOUR USE OF THE SITE IS AT YOUR OWN RISK. NEITHER SANA, NOR ANY OF ITS SUBSIDIARIES, AFFILIATES, OFFICERS OR DIRECTORS, NOR ANY OF ITS AGENTS OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SITE OR ITS CONTENT, ARE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR OTHER DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SITE WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF ANY SUCH DAMAGES.

Sana does not endorse the content, or any products or services available, on such sites. Nonetheless, Sana seeks to protect the integrity of its Site and the links placed upon it and therefore requests any feedback on not only its own Site, but for sites it links to as well (including if a specific link does not work).

10. Trademarks
The trademarks, service marks, trade names and logos, whether registered or unregistered (collectively, the “Trademarks”) displayed on the Site are Trademarks of Sana and others. You may not use any Trademarks displayed on the Site without our written consent. The compilation of all content on the Site is the exclusive property of Sana and protected by United States and international copyright laws. All software used on the Site is the property of Sana or its software suppliers, and you should assume is protected by United States and international copyright laws. You agree not to change or delete any proprietary notices from materials printed or downloaded from the Site.

12. Export Control
Software and other materials downloaded or otherwise made available from the Site may be subject to United States Export Control. The United States Export Control laws prohibit the export of certain technical data and software to certain territories. No software from the Site may be downloaded or exported: into (or to a national or resident of) Cuba, Iraq, Libya, North Korea, Iran, Sudan, Syria, or any other country to which the United States has embargoed goods; or anyone on the United States Treasury Department’s list of Specially Designated Nationals or the United States Commerce Department’s Table of Deny Orders.

Sana does not authorize the downloading or exportation of any software or technical data from the Site to any jurisdiction prohibited by the United States Export Control Laws.

13. Law and Jurisdiction
These Terms of Use and your use of the Site are governed by the laws of the State of Washington, without regard to or application of its conflict of law provisions or your state or country of residence. All claims, legal proceedings or litigation arising in connection with the Site or these Terms of Use will be brought solely in the United States District Court for the Western District of Washington or the state courts located King County in the State of Washington (in each case, in any court having jurisdiction over appeals from such courts), as appropriate, and you consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum. Notwithstanding the foregoing, we will at all times have the right to commence proceedings in any other court of our choice with the appropriate jurisdiction for interim injunctive relief. To the extent allowed by applicable law, any claim or cause of action arising from or relating to your access or use of the Site must be brought within one year from the date on which such claim or action arose or accrued.

14. Assignment
Sana may assign its rights and duties under these Terms of Use to any party at any time without notice to you. You may not assign or otherwise transfer the Terms of Use or any right granted hereunder. Any assignment in violation of this section will be null and void.

We welcome your questions, comments, and concerns about the Site. Please send us any and all feedback pertaining to the Site to contact@sana.com. If you choose to submit questions, comments, ideas, feedback or the like, you agree that we are free to use them for any purpose without any restriction or compensation to you. Our use of such information may include but is not limited to developing, manufacturing and marketing products. By accepting your submission, Sana does not give up any rights to use similar or related feedback, ideas, concepts, know-how, techniques or other information previously known to us, or developed by our employees, or obtained from sources other than you.

16. General

Any express waiver or failure to exercise promptly any right under the Terms of Use will not create a continuing waiver or any expectation of non-enforcement. If any provision of these Terms of Use is held invalid by any law or regulation of any government, or by any court or arbitrator, the parties agree that such provision will be replaced with a new provision that accomplishes the original business purpose, and the other provisions of the Terms of Use will remain in full force and effect.
Sana reserves the right at all times to disclose any information as Sana deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Sana’s sole discretion.
You agree that Sana may provide notice to you via email, regular mail, or posting notices or links to notices on our Site.
A printed version of these Terms of Use and of any notices given in electronic form will be admissible in judicial or administrative proceedings based upon or relating to these Terms of Use to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
